1. Acceptance of Terms

By accessing or using the SupplyOS platform ("Service"), operated by FeltSense ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access the Service. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Service

SupplyOS is an AI-powered supply chain operations platform designed for consumer brands. The Service provides tools for order management, demand forecasting, inventory tracking, fulfillment routing, cash flow analysis, and operational analytics.

3. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@feltsense.com if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit unsolicited communications or spam
• Resell, sublicense, or redistribute the Service without our prior written consent

5. Intellectual Property

The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design), is owned by FeltSense and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to the Service. By uploading data, you grant us a limited license to process and display that data solely to provide the Service to you.

6. Payment Terms

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as otherwise stated in these Terms.

We reserve the right to change our pricing at any time. If we change pricing for a plan you are currently subscribed to, we will provide at least 30 days' notice before the new pricing takes effect.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. AI-generated forecasts, recommendations, and analytics are provided for informational purposes and should not be the sole basis for business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FELTSENSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless FeltSense, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us.

Upon termination, we will make your data available for export for a period of 30 days, after which we may delete it in accordance with our data retention practices.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
